EULA - End User License Agreement

On Top Systems SOFTWARE LICENSE AGREEMENT

This is an agreement between you (the "end user" of this software) and On Top Systems ("Supplier"). By installing this software program ("Software") on your computer, you acknowledge your acceptance of the terms and conditions of this License Agreement.

This software is copyright 2006-2010, On Top Systems. All rights reserved. Supplier reserves the right to modify the Software, and also the terms of this License Agreement at any time and without prior notification to end users.

You may use the Software only according to this License Agreement. This is a legal agreement which allows you, the end user, to use the Software under certain terms and conditions. If you cannot agree to abide by the terms outlined in this agreement, you should not use or evaluate the Software.

The Software is fully protected by copyright under U.S. law and international treaty provisions.

You may use a Trial Copy of the Software for evaluation only, in order to determine whether the Software meets your needs before purchasing it. "Trial Copy" means a copy of the Software distributed by us or by our authorized agents for evaluation purposes and which is described as a trial, shareware, or unregistered copy in the Software's messages or About box. This Software may be freely distributed to third parties provided all of the original components comprising the Software are included without modification and no charge or fee of any kind is made as a condition of such distribution.

Once you purchase the Software, your use is subject to the following restrictions:

You agree not to install or use any individual License Number (the unique registration code you receive when you purchase the Software) on more than one computer at a time. You may, however, install an individual copy simultaneously on one computer at work, one computer at home, and one portable computer, PROVIDED all of these computers are used by the same individual and there is no possibility the computers will be in use at the same time except when you are actively transferring files between them.

It is EXPRESSLY FORBIDDEN FOR REGISTERED USERS TO DISTRIBUTE THEIR REGISTRATION CODE(S) TO ANY THIRD PARTY UNDER ANY CIRCUMSTANCES. The user agrees that doing so constitutes a material breach of this License Agreement and shall result in irreparable harm to Supplier. In such an event, this License Agreement shall be immediately terminated, the user shall cease the use of the Software, and Supplier shall pursue legal and monetary remedies from the offending party to the fullest extent of the law.

Due to the "shareware" nature of the Software, some features may be limited or inaccessible. If, after the expiration of the trial period, you decide to purchase the Software, the necessary codes to unlock the limited or restricted features of the program shall be provided upon payment of the purchase price to Supplier.

You may not modify any part of the files that make up the Software. In particular, de-compilation and/or reverse engineering of binary components of the Software is expressly forbidden. Any such unauthorized use shall result in immediate and automatic termination of this License Agreement and may result in criminal or civil prosecution.

The Software has been carefully developed and is offered for use in good faith. Supplier cannot promise the Software will be free of bugs or program errors. All use of the Software is entirely at the user's risk. The Software and documentation are provided "as is". Supplier makes no warranty, express or implied, including but not limited to any warranty of merchantability, non-infringement, or fitness for any particular purpose.

Registered users of this program may submit bug reports to Supplier at systems@ontopsystems.com for prompt attention and issuance of an updated version of the Software. Technical support for the Software is also provided by e-mail. Supplier does not provide support to trial (unregistered) users.

LIMITATION OF LIABILITY. To the maximum extent permitted by applicable law, in no event shall Supplier or its affiliated suppliers be liable for any special, incidental, indirect, punitive, or consequential damages whatsoever (including, without limitation, damages for loss of profits, lost savings, loss of use, business interruption, loss of information or data, damage to equipment, or other pecuniary loss) arising out of the use or inability to use the Software product, even if Supplier or its dealers have been advised of the possibility of such damages. Supplier and its suppliers' liability for any direct damages actually proven in connection with the Software or its use, from any cause whatsoever and regardless of the form of legal action, shall not in any event exceed the actual amount paid by you for the Software. Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation might not apply to you.

U.S. GOVERNMENT RESTRICTED RIGHTS. The Software and Documentation are provided with RESTRICTED RIGHTS. Use, duplication or disclosure by the Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial Computer Software-Restricted Rights at 48 CFR 52-227-19, as applicable.

ENTIRE AGREEMENT AND GOVERNING LAW. This License Agreement constitutes the entire understanding and agreement between you and Supplier with respect to the Software and Documentation. Any representations or promises made by dealers and distributors of Supplier's software which differ from the terms of this Agreement do not constitute warranties of Supplier, do not bind Supplier, and should not be relied upon. This License Agreement is governed by and construed in accordance with the laws of the State of Florida, U.S.A.
